End User Licence Terms
These terms shall apply to the users of the RTK network and services related hereto:
1.Grant of license (End user license)
1.1 In consideration for the Customer’s payment of the subscription fee for the RTK network services (“Services”) offered by CloudBase Positioning Ltd (“CloudBase RTK”), the Customer is granted a non-exclusive and personal license right to use the Services for users specified in the order confirmation.
1.2 The services are licensed to customer personally (as a physical or legal entity) and may only be used by the customer through equipment owned by the Customer. The Services may not be transferred, assigned, rented, leased, sold or otherwise disposed of to anyone else. This also applies to intra-group transferrals.
1.3 The Customer may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on Services.
1.4 The Customer may not retransmit data stream(s) received from the RTK network and/or through the Services without the prior written permission of CloudBase RTK. The Customer acknowledges that the copyright and title to the Services and any trademarks or service marks relating thereto remain with CloudBase RTK.
1.5 The trademarks of CloudBase RTK or the Services or logos may not be reproduced, published or distributed without CloudBase RTK’s written permission.
1.6 CloudBase RTK reserves the right to make references at a general level to the Customer when promoting or marketing the Products.Such reference may include display of the Customer’s trademark, but may not contain any confidential or sensitive information. Violation of (any of) these terms may lead to CloudBase RTK terminating the Customer’s access to the Service without notice.
2.Warranties and liability including limitation of liability
2.1 To the extent permitted by applicable law, the Services are delivered “as is” and without express or implies warranty of any kind. All warranties, conditions or other terms implied by common law or statute, or otherwise in connection with the sale or supply of goods or services are excluded to the fullest extent permitted by law.
2.2 CloudBase RTK shall be under no liability in respect of any defect arising from willful damage, negligence, abnormal working conditions failure to follow (whether oral or in writing), misuse or alteration or repair of the Services without CloudBase RTK approval.
2.3 CloudBase RTK shall not be liable to the Customer for loss of profits, loss of revenue, liabilities incurred by the Customer to third parties, or additional expenses incurred or the cost of time spent, or any consequential, indirect, or special loss or damage costs expenses or other claims for consequential compensation whatsoever (including without limit loss of or damage to data or loss of goodwill) incurred or suffered by the Customer and in every case howsoever caused or arising.
2.4 CloudBase RTK shall not be liable, or be deemed to be in breach of any contract by reason of any delay in performing or any failure to perform any of CloudBase RTK’s obligation, in relation to the Services if the delay or failure was due to any cause beyond CloudBase RTK’s reasonable control, including inaccuracies in precision of positions, breakdown of airborne or wired network/data communication system, or disturbances in the atmosphere.
2.5 Where CloudBase RTK has supplied the roaming sim, it is only for use with the license that has been purchased from CloudBase RTK for NTRIP streaming. Any breach of this agreement or if text messaging, obnoxious data streaming or telephone calls are detected, termination of the sim card will occur without recompense.
3.Term and termination
3.1 The license to the Services shall apply for 12 months, 6 months, 3 months, 1 month, 7 Day, 3 Day and 1 Day from when the license to the Services is granted to the Customer.
3.2 The customer will be notified before the license expires via email and prompted to renew. If the customer renews and payment is made, the license will renew for the selected term.
3.3 Upon termination of the license, CloudBase RTK require all active sim cards to be returned to Head Office, details can be found by emailing sales@cloudbase-rtk.net. A charge of £25 is liable for all non-returned sim cards.
4.Refund and Cancellations
4.1 Cancelling returns and faulty equipment. Our returns policy gives you 14 days to change your mind, this means you can cancel and return your order within 14 days from when you receive it, whatever the reason. For more information see our Returns Policy. We reserve the right to charge for any data usage within the used timeframe
4.2 Lost or Stolen SIM or Equipment. If your SIM is lost or stolen, or if your equipment containing your SIM is lost or stolen, you must tell us as soon as possible so we can suspend our services and stop someone else using it.
5.If we want to end the Agreement or suspend our services.
We may end the Agreement or suspend our services (entirely or partly) if:
5.1 You don’t pay any charges or payments due to us on time, whether those charges are due under this Agreement or any other agreement you have with us.
5.2 You don’t do something fundamental that you have to do under the Agreement;
5.3 You use any of our services in a way that may damage or affect the operation of our network;
5.4 You become bankrupt or make an arrangement with creditors
5.5 We consider it necessary to safeguard the security and integrity of our network or to reduce the incidence of fraud.
5.6 We may need to suspend our services if asked to do so by regulators or if required by law.
